the force of Law № 2198 the 17 of April, 1995
On State Registration Of Legal Entities

Pursuant to article 1 of the Law of the Republic of Kazakhstan of December 10, 1993 "On Temporary Delegation of Complementary Authorities to the President of the Republic of Kazakhstan and Heads of Local Administrations" with the aim of unifying the procedural requirements to the registration of legal entities, I issue this Decree.

Article 1. THE NOTION OF STATE REGISTRATION OF LEGAL ENTITIES

State registration of legal entities includes monitoring of legal compliance of the constituent documents of legal entities under registration with the RK laws; granting them state registration certificates and registration numbers, recording of the data on legal entities in the State Register of legal entities.

Article 2. THE AIMS OF STATE REGISTRATION OF LEGAL ENTITIES

State registration of legal entities founded and liquidated within the territory of the Republic of Kazakhstan shall be effected with the aims of:

certification of the fact of a legal entity being founded, reorganized and terminated;

accounting of created, reorganized and liquidated legal entities within the territory of the Republic of Kazakhstan and monitoring legal compliance of their constituent documents with the applicable Kazakhstani legislation;

keeping a State register of legal entities;

provision of' the state monitoring and statistical organs with information about created, reorganized and terminated legal entities.

Article 3. LEGAL ENTITIES SUBJECT TO STATE REGISTRATION

Subject to state registration shall be all legal entities created on the territory of the Republic of Kazakhstan regardless of their goals, nature of activity, composition of their participants.

Subsidiaries and representation offices of legal entities located within the territory of the Republic of Kazakhstan shall be liable to accounting registration without getting the status of legal entities.

Article 4. THE STATE AGENCY RESPONSIBLE FOR REGISTRATION

State registration of legal entities within the territory of the Republic of Kazakhstan shall be effected by the Ministry of Justice of the Republic of Kazakhstan and its territorial offices.

Article 5. COMPETENCE RANG! OF THE MINISTRY OF JUSTICE OF THE REPUBLIC OF KAZAKHSTAN WITH REGARDS TO ADMINISTERING STATE REGISTRATION OF LEGAL ENTITIES

The Ministry of Justice of the Republic of Kazakhstan shall deal in:
